Terms of Use

Effective date: 2 September 2026  ·  Last updated: 2 September 2026

These Terms of Use (the “Terms”) form a binding legal agreement between you and DebugToad LLC, a New York limited liability company (“DebugToad,” “we,” “us” or “our”), governing your access to and use of our mobile applications, this website at debugtoad.com and any related content, documentation and support services (together, the “Services”).

Please read these Terms carefully. By downloading, installing, accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree, do not download, install, access or use the Services.

Section 17 contains a binding arbitration agreement and a class action waiver. Unless you opt out within thirty (30) days as described in Section 17.6, you and DebugToad agree to resolve disputes by individual arbitration and give up the right to a trial before a judge or jury and the right to participate in a class or representative action.

1. Agreement to these Terms

1.1  By downloading, installing, accessing or using the Services, or by clicking a button or checking a box indicating your acceptance, you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference.

1.2  If you are entering into these Terms on behalf of a company, organisation or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity.

1.3  Additional terms may apply to a particular App, feature or promotion. Where they apply, those additional terms are incorporated into these Terms and, in the event of a conflict, control with respect to the subject matter they address.

2. Definitions

2.1  “App” means any mobile or desktop software application published by DebugToad, including all updates, upgrades, modifications and accompanying documentation.

2.2  “App Store” means any third-party digital storefront through which an App is distributed, including the Apple App Store operated by Apple Inc. (“Apple”) and Google Play operated by Google LLC (“Google”).

2.3  “Device” means a mobile telephone, tablet, computer or other hardware that you own or control and on which an App is authorised to run.

2.4  “Site” means the website located at debugtoad.com and any successor or related site operated by DebugToad.

3. Eligibility

3.1  You must be at least thirteen (13) years old to use the Services. If you are under the age of majority in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.2  By using the Services you represent and warrant that you meet the requirements of Section 3.1, that you are not barred from using the Services under the laws of the United States or of your jurisdiction of residence, and that your use complies with all applicable laws.

4. Licence

4.1  Grant. Subject to your continued compliance with these Terms and, where the App was obtained through an App Store, with the usage rules of that App Store, DebugToad grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install and use one copy of the App in object-code form on each Device, solely for your personal, non-commercial purposes.

4.2  Reservation of rights. The Apps are licensed, not sold. DebugToad and its licensors retain all right, title and interest in and to the Services, including all intellectual property rights. No rights are granted to you other than those expressly stated in these Terms, and no rights are granted by implication, estoppel or otherwise.

4.3  Site content. You may view, download and print material from the Site for your own personal, non-commercial reference, provided that you do not remove or alter any copyright, trademark or other proprietary notice.

5. Restrictions on use

5.1  Except to the extent that the following restrictions are prohibited by applicable law or expressly permitted by the licence terms of any third-party component included in an App, you shall not, and shall not permit any third party to:

  • copy, modify, adapt, translate or create derivative works of the Services;
  • reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, underlying ideas or algorithms of any part of the Services;
  • rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make the Services available to any third party, including on a service-bureau or time-sharing basis;
  • remove, obscure or alter any proprietary notice, label or mark contained in the Services;
  • use the Services to develop a competing product or service, or for the purpose of benchmarking or competitive analysis intended for publication;
  • circumvent, disable or interfere with any security, licensing or access-control feature of the Services, or use the Services with a modified, jailbroken or rooted operating system in a manner that defeats such features;
  • access the Services by automated means, or interfere with or place an unreasonable load on the Site or the infrastructure on which it runs; or
  • use the Services in violation of any applicable law or regulation, or in any manner that infringes or misappropriates the rights of any third party.

5.2  No high-risk or safety-critical use. The Apps are general-purpose consumer software. They are not designed, intended or licensed for use in any circumstance in which failure, delay, inaccuracy or interruption could lead to death, personal injury, or physical, environmental or financial harm, including medical or clinical use, emergency response, the operation of vehicles, aircraft or industrial equipment, life support, or navigation. You are solely responsible for exercising independent judgement about your health, safety and physical limits, and you should consult a qualified professional before beginning any exercise or training programme.

6. App stores and platform terms

6.1  General. Your acquisition and use of an App obtained through an App Store is also subject to the terms, conditions and usage rules of that App Store, which are between you and the App Store operator. Where those rules conflict with these Terms with respect to your use of the App on that platform, those rules control to the extent of the conflict. Nothing in these Terms creates any obligation on the part of an App Store operator.

6.2 Additional terms for Apps obtained from the Apple App Store

The following provisions apply to any App you obtain from the Apple App Store, and are made for the benefit of Apple:

  • (a) Acknowledgement. These Terms are concluded between you and DebugToad only, and not with Apple. DebugToad, not Apple, is solely responsible for the App and its content.
  • (b) Scope of licence. The licence granted to you in Section 4 is limited to a non-transferable licence to use the App on any Apple-branded product that you own or control, and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
  • (c) Maintenance and support. DebugToad is solely responsible for providing any maintenance and support services with respect to the App, as specified in these Terms or as required by applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
  • (d) Warranty. DebugToad is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be DebugToad’s sole responsibility.
  • (e) Product claims. DebugToad, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App, including (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation.
  • (f) Intellectual property claims. In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, DebugToad, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such claim.
  • (g) Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • (h) Developer name and address. Questions, complaints or claims with respect to the App should be directed to DebugToad LLC using the contact details in Section 21.
  • (i) Third-party terms. You must comply with any applicable third-party terms of agreement when using the App.
  • (j) Third-party beneficiary. You acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

6.3 Additional terms for Apps obtained from Google Play

The following provisions apply to any App you obtain from Google Play: (a) you acknowledge that Google is not a party to these Terms and has no responsibility for the App or its content; (b) your use of the App must comply with the then-current Google Play Terms of Service; (c) Google is only a provider of Google Play, from which you obtained the App; (d) DebugToad, and not Google, is solely responsible for the App; (e) Google has no obligation or liability to you with respect to the App or these Terms; and (f) you acknowledge and agree that Google is a third-party beneficiary of these Terms as they relate to the App.

7. Purchases, prices and refunds

7.1  Transactions through App Stores. All purchases of Apps and of any in-app content are transactions between you and the applicable App Store operator, and are governed by that operator’s terms. DebugToad does not process payments, and does not receive or store your payment card or account credentials.

7.2  Prices and taxes. Prices are set in the currency and price tier displayed by the applicable App Store at the time of purchase and may vary by territory. Prices are inclusive or exclusive of taxes as indicated by the App Store operator, which is responsible for collecting and remitting applicable sales tax, VAT or GST where required.

7.3  Refunds. Requests for refunds are handled by the App Store operator in accordance with its published refund policy. DebugToad is generally not able to issue refunds directly. This Section does not limit any non-waivable statutory right of withdrawal, cancellation or refund available to you as a consumer under the law of your country of residence.

7.4  One-time purchases. Where an App is offered as a one-time purchase, that purchase grants the licence described in Section 4 for the version purchased and for such updates as DebugToad chooses to make available. It does not entitle you to any future App, separately priced product or paid upgrade.

8. Updates, changes and availability

8.1  DebugToad may from time to time issue updates, patches or new versions of an App. Depending on your Device settings, updates may be downloaded and installed automatically. Updates may add, modify or remove features.

8.2  DebugToad may modify, suspend or discontinue any App, any feature of an App, or the Site, in whole or in part, at any time and without liability to you, including where required to comply with law or the requirements of an App Store operator. Where a discontinuation is material and we hold contact details for you, we will use reasonable efforts to give notice through the Site or the App.

8.3  The Services depend on Devices, operating systems, network connections and third-party platforms that DebugToad does not control. DebugToad does not warrant that an App will remain compatible with any future version of an operating system or Device.

9. Feedback

If you send us suggestions, ideas, bug reports, feature requests or other feedback regarding the Services (“Feedback”), you grant DebugToad a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable and transferable licence to use, reproduce, modify and otherwise exploit the Feedback for any purpose, without obligation of confidentiality, attribution or compensation. You represent that you have the right to provide the Feedback on these terms. Feedback is provided voluntarily and is not confidential.

10. Intellectual property

10.1  The Services, including all software, designs, text, graphics, icons, illustrations, audio, user interfaces and their selection and arrangement, are owned by DebugToad or its licensors and are protected by United States and international copyright, trademark and other intellectual property laws.

10.2  “DebugToad,” the DebugToad logo and mascot, and the names of our Apps are trademarks of DebugToad LLC. You may not use them without our prior written consent, except to refer accurately to the Services in a manner that does not suggest sponsorship or endorsement. All other trademarks appearing in the Services are the property of their respective owners.

10.3  Certain Apps may include third-party open-source components licensed under their own terms. Those terms govern the corresponding components and, to the extent they conflict with Section 5.1, prevail. Where required, applicable notices are made available within the App or on request to the address in Section 21.

10.4  Copyright complaints. If you believe material available through the Services infringes your copyright, please send a notice complying with 17 U.S.C. § 512(c)(3) to contact@debugtoad.com.

11. Privacy

Our collection and use of personal information in connection with the Services is described in our Privacy Policy. Any information you enter into an App is stored on your Device and is not transmitted to DebugToad. You are responsible for maintaining your own backups of Device data; uninstalling an App or resetting a Device may permanently delete data stored locally by that App.

12. Disclaimer of warranties

12.1  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. DEBUGTOAD, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE OR TRADE.

12.2  WITHOUT LIMITING THE FOREGOING, DEBUGTOAD DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT THEY WILL OPERATE UNINTERRUPTED, TIMELY, SECURELY OR ERROR-FREE, THAT ANY TIMER, ALERT, NOTIFICATION OR OTHER TIME-DEPENDENT FUNCTION WILL BE ACCURATE OR DELIVERED, OR THAT DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM DEBUGTOAD OR THROUGH THE SERVICES, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

12.3  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON THE DURATION OF STATUTORY RIGHTS, SO SOME OR ALL OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN THAT CASE, THE EXCLUSIONS APPLY TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW, AND NOTHING IN THESE TERMS AFFECTS YOUR NON-WAIVABLE STATUTORY RIGHTS AS A CONSUMER.

13. Limitation of liability

13.1  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DEBUGTOAD, ITS AFFILIATES OR ITS AND THEIR MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, AND WHETHER OR NOT DEBUGTOAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF DEBUGTOAD ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID FOR THE APP GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) TEN UNITED STATES DOLLARS (US$10).

13.3  THE LIMITATIONS IN THIS SECTION 13 APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND DEBUGTOAD. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU IN FULL.

14. Indemnification

You agree to indemnify, defend and hold harmless DebugToad, its affiliates and its and their members, managers, officers, employees, agents and licensors from and against any claim, demand, action, loss, liability, damage, cost or expense (including reasonable attorneys’ fees) arising out of or relating to (a) your use or misuse of the Services; (b) your breach of these Terms or of any representation or warranty you make in them; or (c) your violation of any applicable law or of the rights of any third party. DebugToad reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence. This Section does not apply to the extent a claim arises from DebugToad’s own gross negligence or wilful misconduct, and does not apply where prohibited by applicable consumer law.

15. Term and termination

15.1  These Terms take effect when you first access or use the Services and continue until terminated.

15.2  You may terminate these Terms at any time by ceasing all use of the Services and deleting all copies of the Apps from your Devices.

15.3  DebugToad may suspend or terminate the licence granted in Section 4 with immediate effect if you materially breach these Terms, or where required by law or by an App Store operator.

15.4  On termination, the licence granted to you ends and you must delete all copies of the Apps. Termination does not entitle you to a refund except as required by applicable law or by App Store policy. Sections 4.2, 5, 9, 10 and 12 through 20 survive termination.

16. Governing law and forum

16.1  These Terms and any dispute arising out of or relating to them or to the Services are governed by the laws of the State of New York, United States of America, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.

16.2  Subject to Section 17, you and DebugToad consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of New York for any action not subject to arbitration, and waive any objection based on lack of personal jurisdiction or inconvenient forum.

16.3  If you are a consumer resident in the European Economic Area, the United Kingdom or another jurisdiction whose law grants you the protection of mandatory consumer provisions, nothing in this Section deprives you of the protection of those provisions or of your right to bring proceedings in the courts of your place of residence.

17. Dispute resolution and arbitration

Please read this Section carefully. It affects your legal rights, including your right to file a lawsuit in court.

17.1  Informal resolution first. Before commencing any proceeding, you agree to notify DebugToad in writing at contact@debugtoad.com, describing the dispute and the relief sought, and to attempt in good faith to resolve the dispute informally for a period of sixty (60) days from the date of the notice. If we have a dispute with you, we will send a corresponding notice to the email address we hold for you. This informal process is a condition precedent to arbitration, and the applicable limitation period is tolled while it is under way.

17.2  Binding individual arbitration. If the dispute is not resolved under Section 17.1, you and DebugToad agree that any dispute, claim or controversy arising out of or relating to these Terms or the Services will be resolved exclusively by final and binding individual arbitration, and not in a court of law, except as provided in Section 17.4.

17.3  Arbitration procedure. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, as modified by these Terms, before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The seat of the arbitration will be the State of New York; a consumer may elect to proceed by telephone, by videoconference, on the basis of written submissions, or in person in the county of the consumer’s residence. Payment of filing, administration and arbitrator fees is governed by the AAA rules, and DebugToad will pay any portion of those fees allocated to it. The arbitrator may award any relief available in court, but only in favour of the individual party seeking relief and only to the extent necessary to provide that party relief. The arbitrator’s award is final and binding, and judgment on it may be entered in any court of competent jurisdiction.

17.4  Exceptions. Either party may (a) bring an individual action in small claims court for a dispute within that court’s jurisdiction, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

17.5  Class action waiver. YOU AND DEBUGTOAD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

17.6  Your right to opt out. You may opt out of Sections 17.2 through 17.5 by sending written notice to contact@debugtoad.com with the subject line “Arbitration Opt-Out,” stating your name and that you decline this arbitration agreement, within thirty (30) days of the date you first accept these Terms. Opting out has no effect on any other provision of these Terms and will not affect your use of the Services.

17.7  Severability and survival. If Section 17.5 is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and brought in a court of competent jurisdiction under Section 16, and the remaining claims will proceed in arbitration. If any other part of this Section 17 is found unenforceable, it will be severed and the remainder will continue in effect. This Section survives termination of these Terms.

17.8  Consumers outside the United States. If mandatory law in your country of residence prohibits pre-dispute arbitration agreements or class action waivers with consumers, Sections 17.2 through 17.5 do not apply to you, and disputes will be resolved under Section 16.

18. Export control and government end users

18.1  The Services are subject to United States export control laws, including the Export Administration Regulations and the sanctions programmes administered by the Office of Foreign Assets Control. You represent that you are not located in, and will not use or export the Services into, any country or region subject to comprehensive U.S. sanctions, and that you are not a person or entity with whom U.S. persons are prohibited from dealing.

18.2  The Apps are “commercial computer software” and “commercial computer software documentation” as those terms are used in 48 C.F.R. § 12.212 and 48 C.F.R. § 227.7202. U.S. Government end users acquire only those rights set out in these Terms.

19. Changes to these Terms

19.1  DebugToad may amend these Terms from time to time. The current version will always be posted at this address, and the “Last updated” date will be revised.

19.2  Material changes take effect thirty (30) days after they are posted, except where a shorter period is required by law or by an App Store operator. Your continued use of the Services after the changes take effect constitutes acceptance of the amended Terms. If you do not agree to the amended Terms, you must stop using the Services and delete the Apps. Changes do not apply retroactively to any dispute of which we had notice before the change was posted.

20. General provisions

20.1  Entire agreement. These Terms, together with the Privacy Policy and any additional terms referenced in Section 1.3, constitute the entire agreement between you and DebugToad regarding the Services and supersede all prior or contemporaneous understandings on that subject.

20.2  Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will remain in full force and effect.

20.3  No waiver. No failure or delay in exercising any right constitutes a waiver of that right, and no waiver is effective unless made in writing.

20.4  Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent, and any purported assignment is void. DebugToad may assign these Terms without restriction, including in connection with a merger, acquisition, reorganisation or sale of assets.

20.5  Force majeure. DebugToad is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control.

20.6  Notices. We may give notice to you by posting on the Site, by in-App message, or by email to any address you have provided. You must give notice to us at the address in Section 21. Notice is deemed given on the day it is posted or sent.

20.7  Relationship of the parties. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and DebugToad.

20.8  Third parties. Except as stated in Sections 6.2(j) and 6.3, these Terms confer no rights on any person other than you and DebugToad.

20.9  Headings and interpretation. Headings are for convenience only and do not affect interpretation. “Including” means “including without limitation.”

20.10  Language. These Terms are drafted in English. Any translation is provided for convenience only; in the event of a conflict, the English version prevails, except where applicable law requires otherwise.
